The RSUs represent the economic equivalent of one share of common stock, par value $0.01 per share (the "Common Stock"), of Talos Energy Inc. Pursuant to the terms of the award agreement, 60% of the RSUs were settled in Common Stock and 40% of the RSUs were settled in cash.
